Terms of Service

1. Acceptance of Terms

By accessing or using the services, custom software, templates, or websites provided by Zohrion Technologies ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services & Contract Agreements

We provide professional software development, web development, cloud hosting setup, database migration, and design services. For bespoke custom software development, specific milestones, delivery guidelines, payment agreements, and specifications will be governed by a separate Service Level Agreement (SLA) or Master Services Agreement (MSA) signed by both parties.

3. Intellectual Property Rights

Unless otherwise agreed in a separate signed contract, all source code, software architectures, database schemas, and digital assets developed custom-tailored for clients will transfer ownership to the client upon final receipt of full contract payments. Any pre-existing proprietary libraries, developer frameworks, or boilerplates used by Zohrion Technologies remain our intellectual property, licensed to you on a non-exclusive basis for implementation in the delivery product.

4. Prohibited Activities

You agree not to use our custom developed software, websites, or technical architectures for:

• Any illegal or unauthorized purpose violating local, state, national, or international regulations.
• Hosting, distributing, or transmitting malware, spyware, phishing assets, or malicious network components.
• Attempting to disrupt, compromise, or perform unauthorized testing (unless explicitly contracted) of our technical servers or systems.

5. Limitation of Liability

In no event shall Zohrion Technologies, its technical directors, engineers, or partners, be liable for any indirect, incidental, special, or consequential damages (including loss of profits, data corruption, or business interruption) arising out of the use or inability to use the developed custom software, even if we have been notified of the possibility of such damage.

6. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.
